1. Introduction

Welcome to Hatching Agency. These Terms and Conditions govern your use of our website and our services. By accessing this site or engaging in any of our services, you are agreeing to be legally bound by these terms. Our agency operates with honesty, professionalism and a strong commitment to creating meaningful value for every client. We believe in transparency and mutual respect in all collaborations. These terms are designed not to intimidate, but to set a fair and structured framework that ensures smooth cooperation, efficient execution and professional accountability for both parties involved.




2. Services Offered

Hatching Agency provides a comprehensive range of creative and digital services, including but not limited to:

  • Branding and brand identity development

  • Graphic design (including logo design, posts, print design, etc.)

  • Digital marketing campaigns (Google Ads, Meta Ads, YouTube Ads, etc.)

  • Website design and development

  • Content creation (visuals, copies, scripts)

  • Video editing, reel creation and promotional ads

  • 3D animation and product-based animation

  • Product photography and on-site photoshoots

  • Studio rental services for shoots

  • Live location shooting and production services for brand films, advertisements, short films, song albums and individual creative projects

  • Creative strategy and brand consulting

We accept both brand-level collaborations and independent/individual projects.



3. Payment & Billing

To maintain transparency and workflow efficiency, our payment policy is as follows:

  • A non-refundable advance of 50% of the total agreed project value must be paid before the commencement of any work.

  • The remaining 50% must be paid upon project completion and before final delivery of all assets and materials.

  • Late payments are strictly discouraged. A delay beyond 3 business days after the due date will incur a late fee of 10% of the total project value for every month of delay.

  • No refunds will be provided once payment (partial or full) is made and work has commenced.

  • In cases where a client pays the advance but chooses to pause the project, the amount will be held as credit valid for 60 days.

    • This credit can only be applied to the original scope of work agreed upon.

    • Substitution for different or unrelated services will not be accepted.

  • All payments must be made through official banking channels (bank transfer, UPI or online payment gateways).

    • Cash payments are discouraged to ensure transparency, proper tracking and professional accountability.

  • Our service pricing is determined by the nature of the business, the specific industry, project complexity and the level of creative and strategic effort required by our team. This pricing structure is objective and fair, based on project scope-not favoritism or partiality.



4. Project Timelines

  • Project timelines will be estimated and mutually agreed upon before project commencement.

  • If a client requests a temporary hold, the project will be paused for a maximum of 14 days, after which timelines and pricing may be revisited.

  • Delays caused by late approvals, pending feedback, sudden changes or incomplete content submission by the client will result in extended timelines and possible rescheduling.



5. Revisions Policy

  • For video and reel projects, up to 2 rounds of revisions are included in the package.

  • For graphic and photo-based content, up to 3 revisions are provided.

  • Any revision beyond the allocated rounds will be billed additionally.

  • Major structural or creative changes requested after finalization or midway through the project will be treated as a new scope of work and charged separately.

  • Revision requests must be communicated clearly and concisely in writing to avoid miscommunication.



6. Client Responsibilities

  • Clients are expected to provide all necessary materials (brand assets, references, content, logins) before the project begins.

  • Feedback, approvals and responses must be provided promptly to keep the timeline on track.

  • Clients should clearly communicate their expectations and objectives.

  • Hatching Agency cannot be held responsible for delays or quality concerns due to late feedback, missing materials or unclear instructions.

  • We respect every brand like our own and aim to work with mutual trust and openness. However, for a project to truly reflect your vision, timely and respectful communication is essential.

  • We believe in teamwork. A client’s cooperation plays a vital role in the quality and success of the final outcome.



7. Confidentiality

  • All shared content, data and brand materials will remain strictly confidential.

  • We do not disclose or misuse any client data or project details under any circumstance.

  • In the unlikely event of a breach or misuse from our side, we are liable to address and rectify the issue immediately.

  • If a client shares their content on platforms or with other third parties not managed by Hatching Agency, we are not responsible for any misuse, misrepresentation or copyright violations.

  • We may showcase final projects in our portfolio unless the client formally requests otherwise.

  • Creators involved in the project may use the work in their personal portfolio for non-commercial purposes.



8. Ownership & Copyright

  • Final deliverables become the client’s property only after full payment is completed.

  • Until then, Hatching Agency retains full ownership of all drafts and project files.

  • Unless stated otherwise, we may feature completed work on our website, social media or promotional materials.

  • Stock materials, licensed content or third-party assets will be used in accordance with their original licensing terms.



9. Third-Party Tools & Platforms

  • For marketing, web or media deployment, third-party platforms may be used such as Google Ads, Facebook, YouTube, hosting providers, adobe, blender etc.

  • Hatching Agency cannot be held responsible for outages, algorithm changes, service disruptions or technical failures of these platforms.

  • Any fees or subscriptions tied to such platforms will be the client’s responsibility unless stated otherwise.



10. Termination of Services

  • Either party may terminate the project with a written notice of at least 7 days.

  • In case of termination, the client must pay for any work completed up to that point.

  • The advance amount is non-refundable.

  • If the project is abandoned or inactive for more than 30 days without communication, it will be considered terminated and additional restart fees may apply.

  • All working files and progress will be retained by Hatching Agency until dues are cleared.



11. Limitation of Liability

  • Hatching Agency is not responsible for financial losses, business disruption or performance outcomes resulting from marketing campaigns or web launches.

  • We are not liable for hosting failures, domain issues, plugin conflicts or server-related concerns unless these services are handled entirely by our team.

  • We make every effort to deliver quality and precision, but cannot guarantee exact outcomes from digital platforms (clicks, views, leads, etc.).

  • Delays or disruptions caused by force majeure events (natural disasters, political unrest, server issues, etc.) will not be covered under liability.

  • Clients are advised to verify and approve all final content before publishing.



12. Changes to Terms

  • We reserve the right to revise or update these terms without prior notice.

  • The latest version of the terms will always be available on our website.

  • Continued engagement implies acceptance of the most recent version.



13. Jurisdiction

  • These terms are governed by the laws of the Republic of India.

  • All disputes, claims or legal proceedings will be addressed under the jurisdiction of Chennai, Tamil Nadu.
